# CE Vault Membership Agreement

## 1. Parties and Acceptance
This Membership Agreement is between Triple D Ventures ("Triple D," "we," or "us") and the individual creating the CE Vault account ("member" or "you"). By checking the acceptance box and selecting Start free trial, you confirm that you can enter this agreement and accept this version of its terms.

## 2. Service Description and Course-Discovery Benefit
CE Vault stores continuing-education records, tracks member-entered license deadlines, and provides a course-discovery benefit. Based on information in your account, CE Vault may display reviewed free or paid continuing-education links matched to your profession, license type, jurisdiction, or apparent open requirements. When CE Vault has a current, sourced approval record, it may display that course separately as a verified approval match. This benefit is intended to reduce search time and help you compare possible learning opportunities; it does not include the course itself unless expressly stated by the third-party provider.

CE Vault is an organizational and discovery tool only. It does not issue licenses, accredit providers, provide legal or professional advice, guarantee course availability or price, guarantee that a free offer will remain free, or guarantee that any course or credit will be accepted. You remain responsible for reviewing the course details and confirming acceptance with the applicable licensing authority before enrolling or relying on a course for renewal.

## 3. Eligibility and Account Security
You must provide accurate information, keep your credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity through your account except to the extent caused by our failure to use reasonable safeguards.

## 4. Free Trial and Conversion to Paid Membership
Your checkout disclosure states the trial length, amount due today, selected billing interval, post-trial price, and exact first charge date. Unless you cancel before that date, the trial automatically converts to a paid, recurring membership and the saved payment method may be charged.

## 5. Fees, Billing Intervals, Discounts, and Taxes
Prices are stated in U.S. dollars unless shown otherwise. Monthly plans are billed monthly. Quarterly plans cover three months, and annual plans cover twelve months. Any displayed discount is calculated from the then-current monthly price for the covered months. Applicable taxes may be added. The checkout disclosure accepted by you controls the price and interval for your enrollment.

## 6. Automatic Renewal and Authorization
After the trial, the membership automatically renews for successive periods matching your selected billing interval until canceled. You authorize recurring charges for the disclosed amount, plus applicable taxes, on each renewal date. We will disclose material price or billing changes before they take effect and obtain any consent required by law.

## 7. Renewal and Trial-Ending Notices
We may send notices electronically to the email address on the account. Notices will identify the expected charge date and amount and provide a direct cancellation route. Delivery failures do not extend a deadline where applicable law permits, so you must keep your email current.

## 8. Cancellation
You may stop future recurring charges through Membership & Billing in your account. Cancellation takes effect at the end of the paid period unless the cancellation screen states otherwise. For a trial, cancel before the displayed first charge date to avoid the first charge. Cancellation does not delete your account or records automatically.

## 9. Refunds
Except where required by law or expressly stated at purchase, charges already incurred are nonrefundable and no partial-period credits are provided. This section does not limit rights that cannot legally be waived. Duplicate or unauthorized charges should be reported promptly.

## 10. Failed Payments and Suspension
If payment fails, we may retry the charge, request an updated payment method, restrict paid features, or suspend the membership after reasonable notice. Suspension does not authorize new charges after a valid cancellation.

## 11. Member Content, Ownership, and License
You retain ownership of records and documents you upload. You grant Triple D a limited license to host, process, back up, and display that content only as needed to operate, secure, support, and improve the service and meet legal obligations.

## 12. Privacy and Security
Our Privacy Notice explains collection, use, retention, and disclosure of personal information. Do not upload information you are not authorized to store. No system is completely secure; we use reasonable safeguards but cannot promise absolute security.

## 13. Document Storage, Optimization, Export, Retention, and Deletion
The membership includes private document storage based on the selected plan: Essential includes 250 MB, Professional includes 1 GB, and Multi-state Pro includes 5 GB. The selected allowance is also displayed at enrollment and in the service. Individual file-size and account-storage limits may apply. To operate the service efficiently, Triple D may automatically resize, compress, re-encode, remove unnecessary image metadata from, or otherwise optimize uploaded images, while using reasonable measures to preserve readability and the information visible in the submitted document. PDF files may be preserved without compression when safe automated optimization is unavailable. You remain responsible for retaining original documents and for confirming that each stored copy is complete, legible, and acceptable to the applicable licensing authority. We will not materially alter the substantive information in a document for storage optimization.

If an upload would exceed an applicable limit, we may reject the upload and ask you to reduce the file size, remove unneeded records, or purchase an optional storage upgrade. Available recurring storage upgrades are 5 GB for USD 2.99 per month, 25 GB for USD 7.99 per month, and 100 GB for USD 12.99 per month. An upgrade renews with the membership for the selected billing interval until removed or canceled. The exact storage amount, interval charge, first charge date, and renewal terms are displayed before purchase and recorded with the member's consent. We will not charge an additional storage fee without clearly disclosing the price and obtaining any consent required by law. Available export tools may be used before account deletion. Cancellation alone retains the account and records through the applicable retention period; a separate deletion request is required. We may retain limited billing, consent, security, backup, fraud-prevention, and legal records after deletion as required or permitted by law.

## 14. Third-Party Course Links, Free Offers, and Referrals
Course providers, government training systems, payment processors, and linked sites are independent third parties that operate under their own terms, eligibility rules, accessibility practices, and privacy notices. Triple D does not control their content, registration systems, certificates, availability, prices, credit types, accreditation, or security. A link, description, reviewed-source label, free-course label, or automated match does not constitute endorsement, accreditation, legal advice, or a guarantee that the course will satisfy a licensing requirement.

"Free" means that the provider represented access to the identified training and stated CE opportunity as available without charge when CE Vault last reviewed the source. A provider may require account registration, completion of an evaluation or assessment, selection of an eligible credit type, or other steps. Offers and eligibility can change, and some courses in a linked catalog may not be free or may not award CE. You must review the provider's current terms before enrolling.

Triple D may receive a referral or affiliate fee from certain paid providers. Any known relationship will be disclosed near the applicable link. Compensation does not determine whether a course is labeled as a verified approval match and does not guarantee acceptance by a licensing authority.

## 15. Acceptable Use
You may not misuse the service, upload unlawful or malicious material, interfere with security, access another person's records without authorization, scrape the service, or use it to violate law or third-party rights.

## 16. Availability and Changes to the Service
We may maintain, update, or change features. We will provide notice of material changes that significantly reduce paid functionality when reasonably practicable. Features may occasionally be unavailable.

## 17. Disclaimers
To the extent permitted by law, the service is provided "as is" and "as available." You remain responsible for confirming deadlines, credit requirements, course acceptance, submissions, and renewal status with the relevant licensing authority.

## 18. Limitation of Liability
To the extent permitted by law, Triple D will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Any monetary cap and exclusions should be reviewed by qualified counsel for the jurisdictions in which the service is offered. Nothing excludes liability that cannot legally be limited.

## 19. Indemnity
To the extent permitted by law, you agree to be responsible for third-party claims arising from your unlawful use of the service or content you upload. This provision should be reviewed by qualified counsel before publication.

## 20. Governing Law and Dispute Resolution
The governing law, venue, informal-resolution process, and any arbitration or class-action terms must be selected and drafted by qualified counsel based on where Triple D operates and where members reside. No arbitration or class waiver is included in this draft.

## 21. Changes to This Agreement
The agreement version accepted at enrollment is recorded. We may update terms prospectively with notice. We will request new affirmative acceptance when required by law or when a change materially affects recurring charges or member rights.

## 22. Electronic Communications and Records
You consent to receive membership records and notices electronically. You may download or print the agreement and enrollment confirmation. Contact support if you require an accessible alternative format.

## 23. Contact and Notices
Billing questions, cancellation assistance, security reports, and legal notices may be submitted through the Contact page. Before launch, replace this sentence with the legal business name, physical notice address, support email, and telephone number.

## 24. Entire Agreement, Severability, and No Waiver
This Agreement, the checkout disclosure, and the Privacy Notice form the agreement concerning CE Vault. If a provision is unenforceable, the remaining provisions continue to the extent allowed by law. A delay in enforcement is not a waiver.
